Terms of Service

These Terms govern your access to HavenPay’s merchant platform, APIs, checkout, settlement, payouts, and related services. Please read them carefully before creating an account or processing payments.

1.Agreement to these Terms

These Terms of Service (the “Terms”) form a legally binding agreement between you (“you”, “Merchant”, or “Customer”) and HavenPay (the operator of havenpay.io) (“HavenPay”, “we”, “us”, or “our”) governing your access to and use of the HavenPay website at https://www.havenpay.io, our merchant dashboard, application programming interfaces (APIs), payment checkout, settlement, payout, risk, and related products and services (collectively, the “Services”).

By creating an account, accessing the Services, or clicking to accept these Terms, you agree to be bound by them. If you do not agree, you must not use the Services.

If you use the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” includes that entity.

2.Definitions

In these Terms, unless the context requires otherwise:

  • “Payment” means a card, wallet, or other payment method transaction processed through the Services.
  • “Chargeback”, “Dispute”, or “Representment” means a payment contested by a cardholder, issuer, scheme, or bank under applicable network rules.
  • “Payout” means a transfer of Available Balance to your nominated bank account, wallet, or crypto destination (where enabled).
  • “Pending Balance” means funds credited after a successful Payment that are not yet Available Balance.
  • “Available Balance” means funds that have settled and may be withdrawn subject to these Terms, reserves, and risk holds.
  • “Ledger” means HavenPay’s internal record of credits, debits, and balances maintained in minor currency units.
  • “Prohibited Business” means activities listed in the Acceptable Use Policy or otherwise restricted by law, card schemes, or HavenPay.
  • “Personal Data” has the meaning given in the Privacy Policy and applicable data protection law.

3.Eligibility and account registration

You must be at least 18 years old and capable of forming a binding contract. Merchants must be duly organised and authorised to conduct business in the jurisdictions where they operate.

You agree to provide accurate, complete, and current information during registration and to keep it updated, including legal name, trading name, business address, beneficial ownership information, tax identifiers, and settlement details as we reasonably request.

We may require identity verification, know-your-customer (KYC), know-your-business (KYB), anti-money-laundering (AML), and sanctions screening before or during your use of the Services. You authorise us and our partners to obtain information from third parties for these purposes.

You are responsible for safeguarding login credentials, API keys, and authentication secrets. You must notify us promptly at hello@havenpay.io of any unauthorised access or suspected compromise.

4.Description of the Services

HavenPay provides software and related services that enable merchants to accept Payments, manage customers and products, track balances on a Ledger, initiate Payouts, configure webhooks and API keys, and monitor risk events, subject to availability and these Terms.

Where card acquiring, banking, crypto conversion, or custody is involved, those activities may be performed by licensed financial institutions, payment institutions, electronic money institutions, virtual asset service providers, or other regulated partners (each a “Partner”). Your relationship with a Partner may be governed by additional Partner terms presented to you.

We do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features with reasonable notice where practicable, or immediately where required for security, legal, or risk reasons.

APIs and integration

You may integrate with our APIs in accordance with our developer documentation. You must not reverse engineer, scrape in abusive volumes, circumvent rate limits, or use the APIs to build a competing payment platform using our confidential materials.

Secret API keys are shown once at creation where applicable, hashed at rest, and must be stored securely. You are liable for all activity under your keys until they are revoked.

5.Payments, settlement, and balances

Successful Payments are recorded on the Ledger. Amounts are stored in integer minor units of the relevant currency. Pending Balance may later settle into Available Balance according to network settlement cycles, Partner rules, and our risk policies.

You acknowledge that a Payment may later be reversed, partially reversed, or subject to Chargeback, refund, retrieval request, or scheme fine. You remain responsible for the full amount of such events, plus related fees, even after funds have been paid out.

We may place reserves, rolling reserves, delayed settlement, or holds on balances where we reasonably believe there is elevated risk of loss, fraud, Chargebacks, insolvency, or regulatory concern.

  • Refunds reverse or partially reverse Ledger entries associated with an original Payment, subject to available funds and your permissions.
  • Payouts debit Available Balance only and may be delayed or rejected if details are incorrect, networks are unavailable, or compliance checks fail.
  • Where crypto Payouts are offered, conversion rates, network fees, minimums, and blockchain confirmation times apply. Crypto transfers are typically irreversible once broadcast.
  • Currency conversion, if offered, uses rates and spreads disclosed at the time of conversion or in pricing materials.

6.Fees and taxes

You agree to pay the Fees described on our pricing pages or dashboard, including processing fees, Chargeback fees, payout fees, FX spreads, and any Partner pass-through costs. HavenPay does not sell account tiers — there is no Pro plan or SaaS subscription; Fees are transaction-related costs only.

Fees may be deducted from settlements or Available Balance, or invoiced. Late amounts may accrue interest at the lower of 1.5% per month or the maximum permitted by law, plus reasonable collection costs.

You are responsible for all taxes, duties, and governmental charges arising from your use of the Services and your sale of goods or services, excluding taxes on our net income. We may withhold amounts where required by law.

We may update Fees with notice via the dashboard, email, or website. Continued use after the effective date constitutes acceptance, except where mandatory law requires otherwise.

7.Chargebacks, fraud, and risk management

You must only submit Payments for bona fide transactions with your customers. You must maintain fair refund and fulfilment practices and respond promptly to evidence requests.

You are solely responsible for losses arising from fraudulent or unauthorised Payments, friendly fraud, and Chargebacks, except to the extent caused by our wilful misconduct.

We may block Payments, suspend Payouts, require additional documentation, terminate accounts, or report activity to Partners, schemes, or authorities where we reasonably suspect fraud, money laundering, sanctions evasion, or Acceptable Use violations.

8.Prohibited use

You must comply with the Acceptable Use Policy, all applicable laws, card scheme rules, Partner requirements, and sanctions regimes. You must not use the Services for Prohibited Businesses or to facilitate illegal activity.

Breach of this section is a material breach and may result in immediate suspension or termination without prior notice where necessary to protect HavenPay, Partners, or third parties.

9.Your customers and data

You are the controller (or equivalent) of Personal Data relating to your end customers that you submit to the Services, except where we determine purposes and means independently as described in the Privacy Policy.

You represent that you have a lawful basis and all notices and consents required to share customer data with HavenPay and Partners for payment processing, fraud prevention, and related purposes.

Our processing of Personal Data is described in the Privacy Policy. Where a data processing agreement is required by law, the terms we publish or provide will apply.

10.Intellectual property and feedback

HavenPay and its licensors own all right, title, and interest in the Services, including software, documentation, trademarks, and branding. These Terms grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your internal business purposes in accordance with the Terms.

You retain ownership of your content and trademarks. You grant us a worldwide licence to host, process, transmit, and display that content solely as needed to provide the Services.

If you provide feedback or suggestions, you grant us a perpetual, royalty-free licence to use them without restriction or obligation to you.

11.Confidentiality

Each party may receive non-public information from the other (“Confidential Information”). The receiving party will use Confidential Information only to perform under these Terms and will protect it with reasonable care.

Confidential Information does not include information that is public other than through breach, independently developed, or rightfully received from a third party without duty of confidence. Disclosure may be made where required by law, with notice where legally permitted.

12.Warranties and disclaimers

Each party represents that it has the legal power to enter these Terms. You represent that your use of the Services will comply with law and that information you provide is accurate.

EXCEPT AS EXPRESSLY STATED IN THESE TERMS AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT DEFECTS WILL BE CORRECTED.

Nothing in these Terms excludes liability that cannot be excluded under applicable law, including for fraud or fraudulent misrepresentation, or death or personal injury caused by negligence.

13.Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAVENPAY AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND PARTNERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS IN ANY TWELVE (12) MONTH PERIOD WILL NOT EXCEED THE FEES YOU PAID TO HAVENPAY FOR THE SERVICES IN THAT PERIOD (EXCLUDING AMOUNTS PROCESSED FOR YOUR CUSTOMERS).

These limitations allocate risk between the parties and are a fundamental basis of the bargain. Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.

14.Indemnification

You will defend, indemnify, and hold harmless HavenPay and its affiliates, officers, and Partners from and against claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your goods, services, or customer relationships; (b) Payments, refunds, Chargebacks, and fines; (c) your breach of these Terms or the Acceptable Use Policy; (d) your violation of law or third-party rights; and (e) disputes between you and your customers.

15.Suspension and termination

You may stop using the Services at any time and may request account closure subject to settlement of outstanding obligations, Chargeback windows, and reserves.

We may suspend or terminate access immediately if you breach these Terms, pose unacceptable risk, fail verification, become insolvent, or if required by a Partner, scheme, or law.

Upon termination: (a) your licence ends; (b) you remain liable for Fees, Chargebacks, and negative balances; (c) we may continue to hold reserves for a commercially reasonable period to cover anticipated losses; and (d) sections that by nature should survive will survive, including fees, IP, confidentiality, liability, indemnity, and governing law.

16.Changes to the Services and Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date and, where appropriate, notified by email or dashboard notice.

If you do not agree to updated Terms, you must stop using the Services and close your account. Continued use after the effective date constitutes acceptance of the updated Terms.

17.Governing law and disputes

These Terms and any dispute or claim (including non-contractual disputes) arising out of or in connection with them are governed by the laws of England and Wales, without regard to conflict of law principles.

The parties submit to the exclusive jurisdiction of the courts of England and Wales, except that HavenPay may seek injunctive or other equitable relief in any jurisdiction to protect its IP or Confidential Information.

Before filing a claim, you agree to attempt informal resolution by contacting legal@havenpay.io and allowing thirty (30) days to respond in good faith.

18.General provisions

These Terms, together with the Privacy Policy, Cookie Policy, Acceptable Use Policy, and any order forms or Partner terms, constitute the entire agreement and supersede prior agreements on the subject matter.

If any provision is held unenforceable, it will be modified to the minimum extent necessary, and the remainder will continue in effect. Failure to enforce a provision is not a waiver.

You may not assign these Terms without our prior written consent. We may assign to an affiliate or successor in connection with a merger, acquisition, or sale of assets.

Notices to you may be sent to your account email. Notices to us must be sent to legal@havenpay.io.

The Services are not intended for distribution where prohibited. You are responsible for compliance with local import, export, and sanctions laws.
